Company Secretary & Compliance Officer

Indian Bank is seeking an experienced Company Secretary & Compliance Officer to support corporate governance, statutory compliance, and regulatory reporting. This role will be based in Chennai and will work closely with senior leadership and relevant stakeholders to ensure adherence to applicable laws, regulations, and internal policies.

Responsibilities

  • Act as the Company Secretary and ensure end-to-end compliance with applicable corporate and regulatory requirements.
  • Support the Board and key committees by preparing agendas, notices, minutes, and ensuring appropriate documentation and statutory registers are maintained.
  • Oversee compliance management, including monitoring regulatory updates and coordinating implementation of required changes.
  • Prepare, review, and file statutory and regulatory returns, disclosures, and related documentation within prescribed timelines.
  • Coordinate with internal stakeholders (HR, Finance, Legal, Risk, Audit) and external stakeholders (regulators, auditors, consultants) as required.
  • Assist in developing and maintaining internal governance frameworks, policies, and compliance reporting mechanisms.
  • Support audits, inspections, and compliance reviews by providing accurate records and timely responses.

Requirements

  • Education: Graduate degree.
  • Professional Qualification: Qualified Company Secretary.
  • Experience: Minimum 2 years of relevant experience in company secretarial and/or compliance functions.
  • Strong working knowledge of corporate governance practices and compliance documentation.
  • Excellent written and verbal communication skills, with the ability to liaise confidently with senior stakeholders.
  • High attention to detail, strong organizational skills, and ability to manage multiple deadlines.
